> DRAFT — REQUIRES UK LEGAL REVIEW BEFORE LIVE-MONEY LAUNCH

1. About PrizeProof and These Terms

PrizeProof ("PrizeProof", "we", "us") operates a website and platform (the "Platform") on which independently listed prizes are offered through paid-entry prize competitions, each with a free-of-charge route of entry. These Terms of Use govern your use of the Platform and, together with the Competition Terms, Free Entry Route document and Privacy Notice, form the agreement between you and PrizeProof. PrizeProof's registered company details are: [to be completed before launch].

2. Definitions

You/Entrant means a natural person who registers an account or enters a Competition. Competition means a numbered-ticket prize draw listed on the Platform. Entry means a single numbered ticket in a Competition's draw pool, however obtained. Free Entry Route means the postal method of obtaining an Entry without payment, described in the Free Entry Route document. Draw means the commit–reveal process described in the Competition Terms and docs/draw-protocol.md by which a winning Entry is selected. Seller means a person or business whose asset is offered as a prize through the Platform.

3. Eligibility

You must be at least 18 years old and resident in the United Kingdom to register an account or hold an Entry. By entering, you confirm you meet these requirements. We may ask you to verify your identity and age before releasing a prize, and may withhold a prize if we reasonably believe these requirements were not met at the time of entry.

4. Your Account

You are responsible for keeping your account credentials confidential and for all activity under your account. One account per person is permitted; operating multiple accounts to gain additional Entries, evade an entry cap, or claim more than one Free Entry Route entry per Competition is a breach of these Terms and may result in suspension and disqualification.

5. How Competitions Work

Each Competition has a fixed maximum number of paid Entries, a per-person entry cap, and a closing time, all shown on the Competition page before you enter and locked once the Competition opens. Paid and free Entries are allocated from the same pool of ticket numbers under the same inventory control — there is never a separate "free draw".

6. Payments (Test Mode)

PrizeProof currently processes payments through a simulated test provider only. No live card or bank payment is accepted, and no Entry is currently obtained with real money. Live-money payments will not be enabled until the gate described in docs/legal-launch-gate.md is satisfied, at which point this section will be updated and you will be asked to accept revised terms before paying to enter.

7. Free Entry Route

Every paid Competition offers a Free Entry Route with an equal chance of winning, described in full in our Free Entry Route document. This structuring is intended to distinguish Competitions from a lottery under the Gambling Act 2005; it has not yet been confirmed by external legal advice and remains subject to the review referenced in section 1.

8. The Draw

Winners are selected by the commit–reveal, drand-beacon-based process described in the Competition Terms and docs/draw-protocol.md. The method is designed so that the result can be independently recomputed by anyone from published material after the draw.

9. Winners

We will attempt to contact the winning Entrant using the details held on their account. Prize release may be conditional on identity and eligibility verification. Winners choose whether to consent to public announcement; if you do not consent, you are still shown as the winner on your own account.

10. Prohibited Conduct

You must not: use bots, scripts or automated tools to enter Competitions; attempt to interfere with the Draw, the Platform, or other users' accounts; submit false information, including on a Free Entry Route postcard; or attempt to buy or use stolen payment details. Full detail is set out in our Acceptable Use Policy.

11. Sellers and Listed Prizes

Prizes are contributed by Sellers or by PrizeProof itself, subject to PrizeProof's own review. Sellers do not control draws, ticket inventory, pricing or winner selection at any point. See our Seller Terms.

12. Liability

Nothing in these Terms excludes or limits liability where it would be unlawful to do so, including for death or personal injury caused by negligence, or for fraud. Subject to that, PrizeProof's liability to you in connection with the Platform is limited to the amount you paid for Entries to the Competition giving rise to the claim. This section will be reviewed as part of the launch gate.

13. Changes to These Terms

We may update these Terms from time to time. Material changes affecting a Competition you have already entered will not be applied retrospectively to that Competition's critical terms, which are locked once it opens (see Competition Terms, section 1).

14. Complaints and Disputes

If something goes wrong, please use our Complaints Procedure first. These Terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction, without prejudice to any mandatory consumer protections in your place of residence.
